Supplier Code of Conduct

1. Introduction

Pride Global is committed to conducting its business with the highest ethical, professional, and legal standards. We expect the same level of integrity and accountability from our suppliers.

This Supplier Code of Conduct defines the minimum standards for ethical, responsible, and sustainable business practices that suppliers must adhere to when conducting business with Pride Global.

The Code applies to all suppliers, vendors, subcontractors, and service providers worldwide and must be upheld throughout all tiers of the supply chain.

2. Purpose

The purpose of this Supplier Code of Conduct is to ensure that all suppliers and business partners of Pride Global operate in alignment with our core values of ethics, social responsibility, and environmental sustainability.

This Code outlines our expectations in key areas, including:

  • Legal and regulatory compliance

  • Responsible sourcing

  • Fair labour and employment practices

  • Environmental management

  • Business integrity and transparency

3. Scope

This Code applies to all suppliers, vendors, subcontractors, consultants, and service providers working with or on behalf of Pride Global across all global operations.

It must be observed by all levels of the supply chain, irrespective of geographic location, size, or contractual relationship.

4. Compliance with Laws and Regulations

Suppliers are required to operate in full compliance with:

  • All applicable local, national, and international laws and regulations.

  • Industry standards and best practices relevant to their goods or services.

  • Laws relating to anti-corruption, fair competition, labour, environmental protection, and trade.

Key Requirements:

  • Avoid engaging in any form of bribery, extortion, embezzlement, or fraud.

  • Maintain accurate and transparent business and financial records.

  • Disclose any potential or actual conflicts of interest related to work with Pride Global.

5. Labour and Human Rights

Suppliers must respect and uphold internationally recognized human rights and labour standards in all operations.

Freely Chosen Employment

  • Forced, bonded, or involuntary labour is strictly prohibited.

  • Workers must have the right to leave employment upon reasonable notice.

Child Labour Avoidance

  • Child labour is not permitted under any circumstances.

  • Suppliers must comply with applicable minimum age laws and ILO standards.

  • Pride Global adheres to the Fair Labor Standards Act (FLSA), which generally prohibits employment of minors under 18.

  • In exceptional cases where minors aged 16–17 may work, they must:

    • Be employed only in non-hazardous roles.

    • Provide valid work permits and proof of age.

    • Have working hours in full compliance with applicable labour laws.

  • Young workers must not perform hazardous duties or night shifts.

Fair Wages and Benefits

  • Pay wages that meet or exceed legal minimums and industry benchmarks.

  • Provide all legally mandated benefits and ensure timely payment.

Working Hours

  • Working hours and overtime must comply with applicable laws.

  • Overtime must be voluntary and compensated at premium rates.

Humane Treatment and Non-Discrimination

  • Harassment, abuse, corporal punishment, or inhumane treatment are strictly prohibited.

  • Discrimination in hiring, compensation, promotion, or termination on any basis (e.g., gender, race, religion, disability, sexual orientation, or any protected category) is not tolerated.

6. Health and Safety

Suppliers must provide a safe and healthy workplace for all employees.

Key Requirements:

  • Implement and maintain health and safety management systems (e.g., ISO 45001, where applicable).

  • Conduct regular risk assessments and ensure availability of appropriate PPE (Personal Protective Equipment).

  • Maintain emergency preparedness plans (e.g., fire safety, evacuation, and medical response).

  • Provide regular occupational health and safety training to employees.

7. Environmental Responsibility

Suppliers must actively minimize their environmental impact and support sustainable practices.

Environmental Management Systems

  • Implement systems to monitor, manage, and reduce environmental impacts (ISO 14001 certification encouraged).

  • Track and report on key environmental metrics including emissions, water use, waste, and energy consumption.

Waste and Pollution Control

  • Reduce waste generation and ensure safe, responsible disposal.

  • Avoid hazardous substances and minimize emissions to air, water, and soil.

Climate Change Mitigation

  • Support initiatives that reduce greenhouse gas emissions.

  • Where feasible, adopt renewable energy sources and promote energy-efficient practices.

8. Business Ethics and Integrity

Suppliers must conduct all business activities with honesty, fairness, and integrity.

Key Requirements:

  • Maintain zero tolerance for bribery, corruption, or unethical behaviour.

  • Comply with all applicable anti-corruption and anti-money laundering regulations.

  • Avoid actual or perceived conflicts of interest in dealings with Pride Global.

  • Do not offer gifts, hospitality, or incentives intended to influence business decisions.

9. Data Privacy and Information Security

Suppliers who handle personal, confidential, or proprietary information of Pride Global must:

  • Comply with all relevant data protection laws (e.g., GDPR, CCPA, SOC 2, ISO 27001:2022).

  • Implement robust data protection and cybersecurity measures.

  • Promptly report any actual or suspected data breaches to Pride Global.

10. Diversity, Equity, and Inclusion

Pride Global encourages all suppliers to:

  • Foster an inclusive, diverse, and equitable work environment.

  • Promote fair and transparent hiring and employment practices.

  • Support and develop underrepresented groups in leadership roles.

11. Monitoring, Audits, and Corrective Actions

  • Pride Global reserves the right to audit supplier operations to ensure compliance with this Code.

  • Suppliers must provide reasonable access to facilities, records, and personnel as required.

  • Any identified non-compliance must be promptly addressed through corrective action.

  • Persistent or serious violations may result in suspension or termination of business relationships.

12. Responsible and Ethical Use of Artificial Intelligence (AI)

Suppliers that develop, deploy, or use Artificial Intelligence (AI) technologies in connection with Pride Global’s business must ensure that such systems are used responsibly, transparently, and in alignment with ethical standards.

Key Requirements:

  • Compliance: Use of AI must comply with all applicable laws, regulations, and industry standards governing data protection, intellectual property, discrimination, and algorithmic transparency.

  • Transparency: Suppliers must disclose when AI systems are used to make or assist in decisions that could affect individuals, clients, or business operations.

  • Fairness and Non-Discrimination: AI systems must be designed and operated in ways that prevent bias, discrimination, or unfair treatment of individuals or groups.

  • Accountability: Suppliers remain responsible for all outcomes generated by AI systems used in their operations or deliverables. Human oversight must be maintained in critical decision-making processes.

  • Privacy and Data Protection: AI systems must be developed and trained using data that is collected and processed lawfully, with appropriate safeguards to protect personal and confidential information.

  • Security and Reliability: Suppliers must ensure that AI tools are secure, tested for accuracy and robustness, and protected from misuse or manipulation.

  • Prohibited Uses: AI must not be used for deceptive, manipulative, or harmful purposes, including misinformation, surveillance beyond lawful boundaries, or violation of human rights.

13. Grievance and Reporting Mechanism

Suppliers, their employees, or subcontractors may confidentially report any concerns, ethical violations, or breaches of this Code.

All reports will be treated seriously, investigated promptly, and handled confidentially. Pride Global strictly prohibits any form of retaliation against individuals who report concerns in good faith.
